These Website Terms of Use ("Terms") govern your access to and use of the Aegix marketing website at https://aegix.global (the "Website"), including any subdomains, content, forms, and embedded interactive features. These Terms do not govern your use of the Aegix mobile or desktop applications (Aegix One, Aegix AIM, Aegix SMS) — that use is governed by the Aegix End User License Agreement. These Terms also do not govern an LEA's subscription to the Aegix platform — that is governed by the executed Master Subscription Agreement, the Service Level Agreement, and the executed Student Data Privacy Agreement.

1. ACCEPTANCE OF TERMS

By accessing or using the Website, you ("you" or "Visitor") agree to be bound by these Terms and the Aegix Privacy Policy. If you are accessing the Website on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

The Website is a marketing and information surface intended for prospective and current customers, partners, resellers, journalists, regulators, parents, students, school staff, emergency responders, and other interested visitors. The Website is not age-gated: visitors of any age may read the Website. Where the Website includes interactive features (forms, chat) that collect personal information, those features are intended for adult use; minors should not submit forms or use the live chat without a parent or guardian.

4. INTELLECTUAL PROPERTY

The Website, including all software, content, designs, layouts, text, graphics, photographs, video, downloadable artifacts (including the trust-center policy bundle), and the "Aegix," "Aegix Global," "Aegix One," "Aegix AIM," and "Aegix SMS" names and logos, are owned by Aegix Global, LLC, or its licensors and are protected by United States and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Website for the purposes described in Section 3. No other rights are granted.

You may link to the Website using the URL https://aegix.global without prior permission, provided the link does not (a) falsely imply endorsement, affiliation, or sponsorship; (b) appear in a context that disparages Aegix; or (c) violate applicable law.

Use of Aegix brand marks, logos, or names in marketing, sales, or partner materials beyond a textual reference requires written permission from Aegix. Email legal@aegix.global for brand-use requests.

The Website may include logos, names, or other identifiers of Aegix customers (LEAs and other organizations) used with their permission. Use of those identifiers by you requires permission from the customer in question, not Aegix.

6. SUBMISSIONS AND FEEDBACK

If you submit a form, send a message through the live chat, or otherwise provide Aegix with comments, suggestions, ideas, bug reports, or other feedback regarding the Website, the Aegix platform, or Aegix products ("Feedback"), you grant Aegix a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, and incorporate the Feedback into the Aegix platform, products, or marketing materials, without obligation or compensation to you.

This Section 6 applies only to Feedback submitted through the Website. It does not apply to content submitted through the Aegix Applications by Authorized Users of an LEA's subscription, which is governed instead by the executed agreements with the LEA, the SDPA, and FERPA / COPPA / state student-data privacy laws. It does not apply to student data, Personally Identifiable Information of identified individuals, or any data covered by the executed Student Data Privacy Agreement.

You will not submit Feedback that (a) is subject to third-party intellectual property rights you do not control, (b) contains personal information about identifiable third parties, or (c) is confidential to your employer or any third party.

7. PRIVACY AND COOKIES

Aegix's collection, use, and disclosure of personal information through the Website is described in the Aegix Privacy Policy, specifically the "Website Visitors" section. Cookie use is described in the Aegix Cookie Statement. Both are incorporated into these Terms by reference.

The Website may contain links to third-party websites and may embed third-party services (including the Zoho SalesIQ live-chat widget and analytics / advertising scripts described in the Cookie Statement). Aegix is not responsible for the content, privacy practices, or terms of any third-party website or service. Your use of third-party websites and services is governed by their own terms and privacy policies.

9. DISCLAIMER OF WARRANTIES

THE WEBSITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AEGIX DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

Aegix does not warrant that the Website will be uninterrupted, error-free, secure, or free of viruses; that defects will be corrected; or that the content of the Website is accurate, complete, or current. Marketing content on the Website may describe forward-looking product capabilities; current platform behavior is governed by the documentation and agreements executed with each customer, not by Website marketing copy.

The Website is not a substitute for emergency services. In an emergency, contact 911 or the appropriate local emergency services first.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AEGIX'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO YOUR USE OF THE WEBSITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

IN NO EVENT WILL AEGIX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, EVEN IF AEGIX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

The limitations in this Section 10 do not apply to liability that cannot be limited under applicable law (such as for gross negligence, willful misconduct, or fraud).

11. INDEMNIFICATION

You agree to defend, indemnify, and hold Aegix and its officers, employees, agents, and affiliates harmless from any third-party claim, loss, damage, liability, or expense (including reasonable attorneys' fees) arising out of (a) your breach of these Terms; (b) your misuse of the Website; (c) your violation of applicable law in connection with your use of the Website; or (d) any Feedback you submit that infringes a third party's rights. Aegix will provide reasonable notice of any claim subject to indemnification and will reasonably cooperate at your expense.

12. TERMINATION

Aegix may terminate or suspend your access to the Website, without notice, for any conduct that Aegix reasonably believes violates these Terms or applicable law, or that is otherwise harmful to Aegix or other Website visitors. You may stop using the Website at any time.

Sections that by their nature should survive termination — including Sections 4 (Intellectual Property), 6 (Submissions and Feedback), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 11 (Indemnification), 13 (Governing Law), and 15 (Miscellaneous) — will survive.

13. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

For individual website visitors (parents, students, school staff, emergency responders, journalists, regulators, prospective customers acting in personal capacity), any dispute arising out of or relating to these Terms or the Website may be brought in the state or federal courts located in Salt Lake County, Utah, or, at your election, in the courts of the U.S. state in which you reside. Aegix consents to personal jurisdiction in either forum for individual disputes.

For visitors accessing the Website on behalf of a Local Education Agency or other public entity whose home-state procurement laws require disputes with vendors to be heard in that entity's home state, Aegix will defer to that requirement.

These Terms do not require individual website visitors to arbitrate disputes or to waive class-action rights.

14. CHANGES TO THESE TERMS

Aegix may update these Terms from time to time. The current version is published at the Aegix trust center, with the "Effective" date at the top of this document. Material changes will be communicated through a notice on the Website's home page or through email where Aegix has a registered email address for you. Continued use of the Website after the effective date of a revised version of these Terms constitutes acceptance of the changes.
